These terms are the agreement between you and Keynodex LLC for the use of PingRep. Please read them. They include limits on our liability and a section on how disputes are resolved.
1.0 Agreement to these terms
By creating an account, accessing pingrep.com or app.pingrep.com, or using the PingRep API, you agree to these terms. If you do not agree, do not use the service.
If you are agreeing on behalf of a company or other organisation, you confirm you have the authority to bind it, and "you" means that organisation.
2.0 Who we are, and what these terms cover
Keynodex LLC is a limited liability company formed in Florida, USA. PingRep is our product. These terms cover:

Our Privacy Policy and Cookie Policy are part of this agreement.
3.0 Accounts and eligibility
You must be at least 18 years old to use PingRep. There is no younger tier and no supervised use.
You are responsible for your account: for the accuracy of what you put in it, for keeping your sign-in method secure, and for everything done through it. Tell us promptly at privacy@pingrep.com if you believe someone else has access.
We may suspend or close an account that is being used in breach of these terms.
4.0 Acceptable use
Do not use PingRep to:
- impersonate another person, or misrepresent who you are or who you represent
- send unsolicited bulk messages, or contact people who have asked you to stop
- upload content you do not have the right to upload
- collect or publish someone else's personal information without a lawful reason
- harass, threaten, defame, or discriminate against anyone
- probe, scan, or interfere with the security of the service or anyone else's account
- scrape the service, or use automated means to extract data beyond the API we provide
- resell or sublicense the service without our written agreement
You are responsible for the people you contact through PingRep and for having a lawful basis to hold their information. Section 4.7 of our Privacy Policy explains how we treat it.
5.0 Your content
You keep ownership of what you put into PingRep: your profile, your messages, your memories, your contacts, and your files. We do not claim ownership of any of it.
You grant us the licence we need to run the service — to store your content, to display it back to you and to the people you share it with, to back it up, and to send the relevant parts to the providers listed in our Privacy Policy so they can perform the function you asked for. That licence exists to operate PingRep and for no other purpose, and it ends when you delete the content or close your account, except for copies held in backups or records we are required to keep.
You confirm you have the rights to the content you upload and that it does not break the law or these terms.
6.0 AI output, and staying in control
PingRep drafts, suggests, and prepares. It does not act for you without your say-so on the things that matter — profile changes, messages sent on your behalf, follow-ups, and account actions are presented for your approval rather than performed silently.
Two things follow from that, and you should take them seriously:
- AI output can be wrong. It can be inaccurate, incomplete, out of date, or confidently mistaken. Review anything you are about to rely on or send.
- You are responsible for what you send. Once you approve a draft, it is your message. We are not responsible for the consequences of communications you choose to send.
Do not rely on PingRep for legal, medical, financial, or other professional advice.
7.0 Paid plans, billing, renewal, and cancellation
Paid plans are billed in advance through Stripe on the cycle shown at checkout, and renew automatically until cancelled. Prices are shown before you pay.
You can cancel at any time from your account. Cancellation stops the next renewal; your plan stays active until the end of the period you have already paid for. We do not provide pro-rata refunds for a partial period unless the law where you live requires it.
If a payment fails we may retry it and may suspend paid features until it succeeds. If we change prices we will tell you before the change takes effect for your account.
8.0 Third-party services
PingRep connects to services we do not control, including the providers listed in our Privacy Policy and any integration you choose to connect. Your use of those services is governed by their terms, not ours. We are not responsible for them, and connecting one is your decision.
9.0 Intellectual property
PingRep, the Keynodex and PingRep names, and the software, design, and content we provide are owned by us or our licensors and protected by intellectual property law. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service as it is intended to be used. Nothing here transfers ownership to you.
Feedback you send us is welcome, and we may act on it without obligation to you.
10.0 Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT GENERATED BY THE SERVICE WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11.0 LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, KEYNODEX LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
12.0 Indemnity
You agree to indemnify and hold harmless Keynodex LLC from claims, damages, and reasonable legal costs arising from your use of the service, your content, your communications with other people through the service, or your breach of these terms.
13.0 Termination
You can stop using PingRep and close your account at any time. We can suspend or terminate your access if you breach these terms, if your use creates legal risk or harm to others, or if we stop offering the service.
When an account closes, your content is deleted in line with the retention section of our Privacy Policy. Sections that by their nature should survive — ownership, disclaimers, limitation of liability, indemnity, and governing law — survive termination.
14.0 Governing law and venue
These terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws rules. You and we agree that the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, and each of us consents to the jurisdiction of those courts.
If you are a consumer resident somewhere whose law gives you the right to bring proceedings in your local courts, or grants you protections that cannot be set aside by agreement, nothing in this section removes those rights.
15.0 Changes to these terms
We may update these terms. When we do, we update the date at the top, and the previous versions remain in the public history of this document. If a change materially affects your rights, we will tell you before it takes effect for your account. Continuing to use the service after a change takes effect means you accept the updated terms.
